Employer Terms of Business 

1. Introduction These Employer Terms of Business (the "Terms") outline the terms and conditions under which company employers("Employers" or "You" or “Company”) can use the services provided by Kiko Software Limited (the "Platform", “Kiko”, or “We”) for the purpose of hiring contractors ("Talents"). The platform facilitates the selection, hiring, invoicing, and payment processes for Talents and Employers. By using our services, you agree to comply with these Terms.

2. Use of the Platform 
2.1. Eligibility: Talents and Employers must be legally eligible to enter into contracts to use the Platform. You must be at least 18 years old to use our services. 
2.2. Registration: To use the Platform, Talents and Employers must create an account. You agree to provide accurate and complete information during registration and to keep your account information up-to-date. 
2.3. Access: We grant you anon-exclusive, limited, revocable right to access and use the Platform for its intended purposes. 
2.4. Compliance: You agree to abide by all applicable laws, regulations, and these Terms when using the Platform. 

3. Role of the Platform 
3.1. Job Posting and Selection: Employers may post job opportunities on the Platform, specifying their requirements and project details. Talents will be presented with job opportunities based on their profiles, skills, and preferences. The Platform does not take any responsibility for the selection or hiring of Talents by Employers. 
3.2. Invoicing and Payment: Talents can submit invoices for their work through the Platform. Employers make payments through the Platform, and the Platform will collect a share as defined in the Fee Schedule. 
3.3. No Responsibility for Job Performance: The Platform is not responsible for the quality, timeliness, or performance of any job or project undertaken by a Talent. We are a facilitator of the hiring process and do not endorse, warrant, or guarantee the quality of work performed. 

4. Fee Options 
4.1. Fee on Top of Talent Rate: Employers using this option agree to pay a fee to the Platform, calculated as a percentage of the Talent's rate for each project completed. The specific fee amount is outlined in the Fee Schedule. 
4.2. Fixed License Fee: Employers opting for the fixed license fee agree to pay a predetermined, fixed amount to access and use the Platform for a defined period. This fee is specified in the License Fee Agreement. 

5. Payment and Invoicing 
5.1. For Employers selecting the "Fee on Top of Talent Rate" option, payments for Talent services will include the Talent's rate plus the Platform fee. The total amount will be processed through the Platform. 
5.2. For Employers selecting the "Fixed License Fee" option, payments will be made as agreed in the License Fee Agreement. This option does not involve additional fees on top of the Talent's rate. 

6. Compliance with Tax Regulations 
6.1. Employers are responsible for complying with all applicable tax regulations related to their payments to Talents and their usage of the Platform. 

7. Confidentiality 
7.1. Employers and Talents may exchange sensitive information through the Platform. You agree to treat such information as confidential and not to disclose it to third parties without permission. 

8. Dispute Resolution 
8.1. Any disputes between Employers and Talents should be resolved directly between the parties involved. The Platform is not responsible for mediating or arbitrating disputes. 

9. Termination
9.1. The Platform may suspend or terminate your access to the services if you violate these Terms or engage in activities that are harmful to other users or the Platform. 

10. Changes to the Terms 
10.1. The Platform reserves the right to update these Terms from time to time. It is your responsibility to review the Terms periodically for changes. Your continued use of the Platform constitutes your acceptance of the revised Terms. 

11.  Disclaimer of Liability 
11.1. The Platform is provided "as is" and without any warranty. We disclaim any responsibility for the actions or omissions of Talents, Employers, or third parties using our services. 

12.  Miscellaneous 
12.1. Governing Law: These Terms are governed by the laws of England and Wales. 
12.2. Entire Agreement: These Terms constitute the entire agreement between the parties and supersede any prior agreements or understandings. 
12.3. Contact Information: If you have questions or concerns about these Terms, you can contact us at admin@kiko.ai. By using our Platform, you acknowledge that you have read, understood, and agree to these Employer Terms of Business. If you do not agree with these Terms, please do not use our services.
Talent Terms of Business 

1. Introduction 
1.1 These Talent Terms of Business (the"Terms") govern the relationship between Kiko Software Limited (the "Platform",“Kiko”, or "We") and individuals or entities seeking job opportunities ("Talents") who use our marketplace platform to connect with companies looking to hire ("Employers"). The platform facilitates the selection, hiring, invoicing, and payment processes for Talents and Employers. By using our services, you agree to comply with these Terms. 

2. Use of the Platform 
2.1. Eligibility: Talents and Employers must be legally eligible to enter into contracts to use the Platform. You must be at least 18 years old to use our services. 
2.2. Registration: To use the Platform, Talents and Employers must create an account. You agree to provide accurate and complete information during registration and to keep your account information up-to-date. 
2.3. Access: We grant you a non-exclusive, limited, revocable right to access and use the Platform for its intended purposes. 
2.4. Compliance: You agree to abide by all applicable laws, regulations, and these Terms when using the Platform. 

3. Role of the Platform

Talents will be presented with job opportunities based on their profiles, skills, and preferences. The Platform does not take any responsibility for the selection or hiring of Talents by Employers. 
3.2. Invoicing and Payment: Talents can submit invoices for their work through the Platform. Employers make payments through the Platform, and the Platform will collect a share as defined in the Fee Schedule. 
3.3. No Responsibility for Job Performance: The Platform is not responsible for the quality, timeliness, or performance of any job or project undertaken by a Talent. We are a facilitator of the hiring process and do not endorse, warrant, or guarantee the quality of work performed. 

4. Fees 
4.1. Service Fees: The Platform is currently made available to Talents free of charge. 

5. Payment and Invoicing 
5.1. Payment Processing: Payment processing is handled by a third-party payment provider. The Platform is not responsible for any issues related to payment processing. 

6. Compliance with Tax Regulations 6.1.   Taxes: Talents are responsible for reporting and paying any applicable taxes related to their earnings through the Platform.  

7. Confidentiality 
7.1. Talents and Employers may exchange sensitive information through the Platform. You agree to treat such information as confidential and not to disclose it to third parties without permission.

9.1. We may, at our discretion, suspend or terminate your access to the Platform if you violate these Terms or engage in activities that are harmful to other users or the Platform.

10.1. We may update these Terms from time to time. It is your responsibility to review the Terms periodically for changes. Your continued use of the Platform constitutes your acceptance of the revised Terms. 

11. Disclaimer of Liability 
11.1. The Platform is provided "asis" and without any warranty. We disclaim any responsibility for theactions or omissions of Talents, Employers, or third parties using our services.

Acceptable Use Policy 

This Acceptable Use Policy (the "Policy") outlines the terms and conditions governing the use of Kiko Software Limited's services, platform, and any associated products (collectively, the "Services"). The purpose of this Policy is to establish guidelines for acceptable and responsible use of our Services by users, including but not limited to individuals, entities, and employees. By using our Services, you ("User" or "You") agree to comply with this Policy. Violation of this Policy may result in the suspension or termination of access to our Services. 

1. Prohibited Activities Users of our Services are prohibited from engaging in the following activities:
1.1. Illegal Activities: Any use of our Services for illegal activities, including but not limited to fraud, hacking, distribution of malware, or any other criminal activity, is strictly prohibited. 
1.2. Unauthorized Access: Attempting to access, use, or modify the Services or any part of the Services without authorization is prohibited. 
1.3. Harassment and Hate Speech: Harassing, threatening, or engaging in hate speech, discrimination, or incitement of violence towards any individual or group based on factors such as race, gender, religion, or sexual orientation is not allowed. 
1.4. Violating Privacy: Users must respect the privacy of others and are prohibited from sharing or distributing personal or confidential information without explicit consent. 
1.5. Intellectual Property Infringement: Unauthorized use or distribution of copyrighted materials, trademarks, trade secrets, or any other intellectual property without permission is not allowed. 
1.6. Spam and Unsolicited Communications: Sending unsolicited, bulk, or spam communications, including emails, messages, or comments, is prohibited. 
1.7. Misrepresentation: Users must provide accurate and truthful information when using the Services. Misrepresentation, impersonation, or fraudulent activities are strictly prohibited. 
1.8. Disruptive Activities: Engaging in activities that disrupt or impair the functionality of the Services or the experience of other users is not allowed. 

2. Reporting Violations If you become aware of any violation of this Policy or any abusive or inappropriate behavior by other users, please report it to admin@kiko.ai. 

3. Consequences of Violations

5.1. Governing Law: This Policy is governed by the laws of England and Wales. 
5.2. Severability: If any provision of this Policy is found to be unenforceable or invalid, that provision shall besevered, and the remainder of the Policy shall remain in full force and effect.
